3. SUBMISSION GUIDELINES
The Website may allow you to submit information or materials such as vehicle make and model, part names or numbers, comments, pictures, videos, and other content and data (including associated metadata and artwork) (collectively, "User Content"). Your use of such features must comply with the Submissions Guidelines below, which may be updated from time to time. You hereby grant MAT Industries LLC a worldwide, royalty-free, perpetual, nonexclusive license to use the User Content you submit through the Website and related marketing. This license continues even if you stop using the Website. You represent and warrant you have the necessary rights to grant MAT Industries LLC this license for all User Content submitted by you. MAT Industries LLC may monitor and remove or edit any User Content submitted through the Website or Website.
You may not use the Website to:

C. INTELLECTUAL PROPERTY

The Industrial Air name, the Industrial Air logo, and other trademarks, service marks, graphics, and logos of MAT Industries LLC used in connection with the Website are trademarks or registered trademarks of MAT Industries LLC or its licensors in the U.S. and other countries throughout the world. You are granted no right or license with respect to any of the aforesaid trademarks. For the avoidance of doubt, MAT Industries LLC is not transferring, conveying, licensing or assigning any copyrights or other intellectual property rights hereunder. To the extent you provide us with any suggestions, feedback, enhancement requirements or recommendations ("Suggestions"), you assign to MAT Industries LLC all rights in and to such Suggestions and agree that MAT Industries LLC may use any Suggestions, and permit any other persons or entities to use any Suggestions, for any purpose.
D. DIGITAL MILLENNIUM COPYRIGHT ACT (DMCA) NOTICE

I. WAIVER AND INDEMNITY
BY USING THE WEBSITE, YOU AGREE, TO THE EXTENT PERMITTED BY LAW, TO INDEMNIFY AND HOLD MAT INDUSTRIES LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS HARMLESS WITH RESPECT TO ANY CLAIMS ARISING OUT OF YOUR BREACH OF THIS AGREEMENT, YOUR USE OF THE WEBSITE, OR ANY ACTION TAKEN BY MAT INDUSTRIES LLC AS PART OF ITS INVESTIGATION OF A SUSPECTED VIOLATION OF THIS AGREEMENT OR AS A RESULT OF ITS FINDING OR DECISION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. YOU AGREE THAT YOU SHALL NOT SUE OR RECOVER ANY DAMAGES FROM MAT INDUSTRIES LLC, ITS DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, AND LICENSORS AS A RESULT OF ITS DECISION TO REMOVE OR REFUSE TO PROCESS ANY INFORMATION OR CONTENT, TO WARN YOU, TO SUSPEND OR TERMINATE YOUR ACCESS TO THE WEBSITE, OR TO TAKE ANY OTHER ACTION DURING THE INVESTIGATION OF A SUSPECTED VIOLATION OR AS A RESULT OF MAT INDUSTRIES LLC'S CONCLUSION THAT A VIOLATION OF THIS AGREEMENT HAS OCCURRED. THIS WAIVER AND INDEMNITY PROVISION APPLIES TO ALL VIOLATIONS DESCRIBED IN OR CONTEMPLATED BY THIS AGREEMENT.
If you are a California resident, you hereby waive each and all the provisions of the California Civil Code, Section 1542 (to the extent it would be applicable), which reads as follows: "A general release does not extend to claims which the creditor does not know or suspect to exist in his favor at the time of executing the release, which if known by him must have materially affected his settlement with the debtor."
J. GOVERNING LAW
Except to the extent expressly provided in the following paragraph, this Agreement and the relationship between you and MAT Industries LLC, and all transactions through the Website shall be governed by the laws of the State of Illinois, excluding its conflicts of law provisions. You and MAT Industries LLC agree to submit to the personal and exclusive jurisdiction of the courts located within Lake County, Illinois, to resolve any dispute or claim arising from this Agreement. If (a) you are not a U.S. citizen; (b) you do not reside in the U.S.; (c) you are not accessing the Service from the U.S.; and (d) you are a citizen of one of the countries identified below, you hereby agree that any dispute or claim arising from this Agreement shall be governed by the applicable law set forth below, without regard to any conflict of law provisions, and you hereby irrevocably submit to the non-exclusive jurisdiction of the courts located in the state, province or country identified below whose law governs:
If you are a citizen of any European Union country or Switzerland, Norway or Iceland, the governing law and forum shall be the laws and courts of your usual place of residence.
Specifically excluded from application to this Agreement is that law known as the United Nations Convention on the International Sale of Goods.
K. OTHER PROVISIONS
This Agreement constitutes the entire agreement between you and MAT Industries LLC with respect to the subject matter hereof and governs your use of the Website, superseding any prior agreements with respect to the same subject matter between you and MAT Industries LLC. You also may be subject to additional terms and conditions that may apply when you use affiliate services, third-party content, third-party software, or additional services.
If any part of this Agreement is held invalid or unenforceable, that portion shall be construed in a manner consistent with applicable law to reflect, as nearly as possible, the original intentions of the parties, and the remaining portions shall remain in full force and effect. MAT Industries LLC's failure to enforce any right or provisions in this Agreement will not constitute a waiver of such or any other provision. MAT Industries LLC will not be responsible for failures to fulfill any obligations due to causes beyond its control.
MAT Industries LLC may notify you with respect to the Website by a posting on the Website, by e-mail or through mobile push notifications as set forth herein. Unless otherwise stated, notices shall become effective immediately.
You agree that MAT Industries LLC has the right (but not the obligation) to take steps MAT Industries LLC believes are reasonably necessary or appropriate to enforce and/or verify compliance with any part of this Agreement.
You acknowledge and agree that MAT Industries LLC's affiliated companies are deemed third party beneficiaries of this Agreement, and upon your acceptance of the terms of this Agreement, such affiliates will have the right (and are deemed to have accepted the right) to enforce the terms of this Agreement against you to the same extent as MAT Industries LLC.
The Website is not intended for use by minors.
Any provision of this Agreement that by its nature extends beyond the termination of this Agreement, including but not limited to Sections C (Intellectual Property), G (Disclaimer of Warranties), H (Limitation of Liability), I (Waiver and Indemnity), and J (Governing Law), shall survive any termination of this Agreement. The termination of this Agreement shall not affect liability for any breach of this Agreement prior to such termination.
